Item Aspectele finanţării achiziţiilor publice prin prisma dezvoltării sistemului financiar sustenabil(CEP USM, 2023-07-24) Mulic, Andrei; Ulian, EcaterinaThe article deals with the most important aspects of public procurement financing in the financial system of the Republic of Moldova. Public procurement in this study is considered as a multi-level system of interrelated categories, the functioning of which should ensure the development of a sustainable financial system for the subsequent achievement of maximum efficiency in the use of budget funds at the local and central levels. Also in this study, the problems arising in the implementation of public contracts in the Republic of Moldova are considered, proposals are presented to improve the efficiency of public procurement financing in the context of ensuring the stability of the entire national financial system.Item IMPACTUL SINERGETIC ASUPRA CREĂRII DE VALOARE ÎN FUZIUNI ȘI ACHIZIȚII(CEP USM, 2024) Ulian, EcaterinaIn this paper the author has made a critical analysis of the impact of synergies on value creation in the process of business growth through mergers and acquisitions. Qualitative analysis methods were applied in the research, such as the monographic method, comparison, synthesis. The research carried out allowed to conclude that it is not the synergies that create value, but their sources. The process of evaluating the synergistic effect in value creation is complex, and the results obtained must be considered with caution by decision-makers, considering the asym-metry of information from both the position of the acquiring company and the target company.Item PERFORMANȚA SUSTENABILĂ VERSUS PERFORMANȚA FINANCIARĂ: ABORDARE COMPARATIVĂ(CEP USM, 2022-05-20) Ulian, Ecaterina; Moroșan-Dănilă, LuciaThrough this study, the authors aimed to make a synthesis of scientific works on the interdependence between financial performance and sustainable practices of companies. By applying the methods of synthesis, comparison, deduction, the authors concluded that there is no unanimity of opinion regarding the direct link between financial and sustainable performance. This fact is demonstrated by the synthesis of researches already carried out by other researchers, which are contradictory. At the same time, the authors conclude that an important factor which can influence financial performance is the disclosure of information on sustainable practices or sustainability principles underlying the company's business model. Accordingly, the authors recommend the implementation of an integrated reporting system, which, in addition to financial information, also contains non-financial information, including sustainable performance indicators.Item OPORTUNITĂȚI DURABILE PRIVIND ACHIZIȚIILE PUBLICE INOVATOARE(CEP USM, 2022-11-10) Rusu, Elena; Ulian, EcaterinaItem DEZVOLTAREA MODELULUI GREEN-HUB-ULUI LA USM PRIN IMPLICAREA ÎN TRENDUL INTERNAȚIONAL DE SUSTENABILITATE ȘI A BUNELOR PRACTICI UNIVERSITĂȚILOR EUROPENE(CEP USM, 2022) Mulic, Andrei; Ulian, Ecaterina; Ayala, Marin M JoseActuality of the research topic focuses on increasing the role of Green-Hubs for the promotion of sustainable consumption in higher education institutions. The research topic aims represents the authors' vision of a sustainable university and aims to define the role, mission and purpose of the Green-Hub at USM, as an institutional body established to ensure a clean, green and innovative teaching and learning environment of the Faculty of Economic Sciences and , therefore, to emphasize the eco-sustainable environment in the present and future. The purpose and objectives of the research is to establish an innovative teaching and learning process, transforming university students, academic staff and non -university staff into a nature-loving group, working together as a team to ensure ecological sustainability in the university premises. To achieve the proposed goal and objectives we used the classical cognitive methods of analysis and research and the simulation method. During the research, we will rely on the experience of European countries in the development of Green-Hubs for the promotion of sustainable consumption in higher education institutions. The research results propose the Green-Hub model at USM as a sustainability platform that empowers students and staff to integrate sustainability into curriculum, research, operations, community and governance.Item INTERDEPENDENŢA DINTRE PRACTICILE SUSTENABILE ŞI PERFORMANŢA FINANCIARĂ A COMPANIEI(CEP USM, 2021) Ulian, EcaterinaIn this study, different methodological approaches were analyzed regarding evaluating the impact of integrating some sustainability practices in the performed activity on the financial performance indicators. For this purpose, the author applied the method of scientific documentation and the comparison of different approaches. The systematization of opinions highlighted that environmental and social factors have a greater impact on performance indicators such as economic profitability, sales profitability, or return on stock (profit per share). Return on equity is to a lesser extent influenced by sustainability factors. However, investors, shareholders are interested in published reports or indicators of sustainable performance.Item IMPACTUL OPERAŢIUNILOR DE FUZIUNE ŞI ACHIZIŢII DE COMPANII ASUPRA PERFORMANŢELOR FINANCIARE ALE ACESTORA(CEP USM, 2016) Ulian, EcaterinaIn Republic of Moldova, merger and acquisition transactions are relatively recent. This is the reason why we cannot talk about a market of mergers and acquisitions in Moldova, operations that can generate significant effects on the development of our country, because according NCFM during 2008 - 2015 have taken place only 29 transactions of mergers. The research field is the mechanism of the merger and acquisition transactions. In the context of actuality of the topic was formulated the purpose of the paper, which is to identify the motivations, factors determining the amplification of mergers and acquisitions internationally, regionally, and nationally. In the Conclusions part are outlined in the main conclusions of this research and are formulated some suggestions on increasing the number and value of mergers and acquisitions transactions in Moldova, which may have an significant role in development of our country.Item ANALIZA POLITICILOR DE DEZVOLTARE ȘI A CADRULUI LEGISLATIV ORIENTAT SPRE SUSȚINEREA INCUBATOARELOR DE AFACERI LA NIVEL NAȚIONAL ȘI AL UNIUNII EUROPENE(CEP USM, 2021) Mulic, Andrei; Ulian, EcaterinaÎn articol este cercetat rolul politicilor de dezvoltare și al cadrului legislativ în stimularea inovațiilor în Uniunea Europeană și în Republica Moldova. Actualmente, inovațiile sunt într-o deficiență. Această problemă trebuie soluționată dacă Republica Moldova dorește să îmbunătățească calitatea vieții cetățenilor săi și, în același timp, să devină competitivă pe piața globală. Acest lucru necesită un spirit antreprenorial mai productiv. În cadrul cercetării, autorii au analizat modul în care condițiile cadrului legislativ din Republica Moldova și din UE pot deveni mai favorabile pentru susținerea incubatoarelor de afaceri și a inovării, fiind dezvoltată o strategie de reformă pentru a atinge acest obiectiv.Item EVIDENȚIEREA ROLULUI INCUBATORULUI DE AFACERI DIN MEDIUL UNIVERSITAR CA COMPONENTĂ IMPORTANTĂ A ECOSISTEMULUI ANTREPRENORIAL(CEP USM, 2020) Mulic, Andrei; Ulian, EcaterinaÎn articol este cercetat rolul și locul incubatorului de afaceri din mediul universitar ca parte a ecosistemului antreprenorial. Este descris conceptul de activitate antreprenorială, este determinată importanța antreprenoriatului în mediul de afaceri, fiind specificați participanții la ecosistemul antreprenorial. În cadrul cercetării, autorii au dezvoltat o structură a incubatorului de afaceri din mediul universitar în corelație cu ecosistemului antreprenorial și au sugerat faze posibile ale procesului de organizarea funcționării sale.Item EVALUAREA AFACERILOR ÎN SCOPUL FUNDAMENTĂRII DECIZIEI DE FUZIUNE SAU ACHIZIŢIE: ASPECTE METODOLOGICO - PRACTICE(CEP USM, 2018) Cojocaru, Maria; Ulian, EcaterinaEvaluarea eficienței tranzacției de fuziuni și achiziții (M&A)este una dintrecele mai importante etape ale tranzacției. De selectarea metodei corespunzătoare depinde succesul sau insuccesul tranzacției. În contextul acestei afirmații a fost realizată această cercetare, în care sunt analiza tediferite metode de evaluare a companiilor. Considerăm că metoda actualizarii fluxurilor de lichidit ăţi (Discounted Cash Flow –DCF) oferă o estimare cât mai corectă, bazandu- se pe conversia fluxurilor viitoare de lichidități în valoarea prezentă a activelor care vor genera fluxurile de numerar viitoare. Aplicabilitatea acestei metode este realizată în baza datelor a două companii, care au ca domeniu principal de activitate vinificația. Una este analizată ca potențială companie absorbantă ( Purcari Wineries Public Company Limited,anterior –Bostavan Wineries Ltd.), alta –ca potențială companie țintă (Combinatul de Vinuri din Taraclia S.A.).
