    Executarea contractelor comerciale internaționale în condiții excepționale

    Under the conditions of the exceptional health crisis caused by the covid-19 virus, unprecedented governmental actions are taking place worldwide, which are likely to massively affect the execution of ongoing international trade agreements, so that international trade operators are in a position to seek legal solutions to get out of deadlock. Two institutions established in both the national laws and the instruments of uniform law come to regulate the situations in which, due to unforeseeable events at the time of the conclusion of the contract, which do not depend on the will of the contracting parties seriously affect the ability of the parties to performe their commitments - force majeure and hardship. This article is dedicated to the legal analysis of these two important institutions of international contract law.

    Particularităţile clauzei penale ca metodă de evaluare convenţională a prejudiciului cauzat prin neexecutarea contractului comercial internaţional

    The contract freedom leads to a wide range of liability related clauses in the international commercial contracts, created in function of the respective economic power and negotiations skills of the parties. Legislators all over the world have made active interventions in the field of this kind of clauses; judges have been found in all jurisdictions to declare liability related clauses unenforceable, on the basis of mandatory provisions of domestic law. In the present article we have analyzed the specific features and the conditions of the validity of the penalty clauses, as a the conventional method of assessing damages caused by breach of the contract, in various legal systems and instruments of uniform law.

    Remedii în cazul neexecutării contractului comercial internațional: clauza penală vs daune-interese

    This article is dedicated to the correlation between the penalty clause and damages, which are two remedies granted to the creditor to protect his interests in case of default by the debtor.Damages are the universal remedy known in all legal systems and instruments of uniform law, granted to the creditor of the unfulfilled obligation. But the parties can derogate from the legal regime established by the applicable law, concluding conventions regarding the conditions and extent of their liability. Such a convention is the penalty clause, found in most international commercial contracts, which is a contractual provision by which the parties assess the damage in advance, stipulating that the debtor, in case of non-fulfillment of the obligation, is to return to the creditor a sum of money or another good.

    IMPACT OF FORCE MAJEURE ON INTELLECTUAL PROPERTY CONTRACTS

    The topicality of the subject is determined by the devastating economic effects of the events of the last two years that have affected the economy of the whole world, namely the pandemic with Covid 19 and most recently, the war in Ukraine. These effects are equally disruptive for intellectual property contracts when it is impossible to perform the obligation for the length of time the force majeure event exists, or the party shall engage in efforts to mitigate the effects of the force majeure event to perform the obligation under intellectual property contract. The research aims to clarify what circumstances or events could be considered force majeure, as well as the applicability of legal provisions in the context of measures undertaken by authorities in relation to events occurred. In addition, the performance of intellectual property contracts in force majeure circumstances will be addressed. Following the compared analysis of national legislations and practices, as well as different opinions and considerations of academia, the research reveals what circumstances could be considered a force majeure event, what are its particularities and impact on intellectual property contracts.

    PREJUDICIUL VIITOR, PROFITUL RATAT ȘI PIERDEREA UNEI ȘANSE – ELEMENTE ALE PREJUDICIULUI REPARABIL ÎN CAZUL NEEXECUTĂRII OBLIGAȚIEI CONTRACTUALE

    Realizarea principiului reparării integrale a prejudiciului suportat în rezultatul neexecutării obligației contractuale presupune compensarea prejudiciului în totalitatea elementelor din care acesta este compus, inclusiv prejudiciul viitor, profitul ratat și pierderea unei șanse. Elementele ce constituie obiect al prezentului studiu pot fi reunite sub o categorie generică –prejudiciu potențial – și se caracterizează prin aceea că sunt influențate într-o măsură mai mare sau mai mică de factorul aleatoriu, care afectează certitudinea producerii, dar mai ales a întinderii potențialului prejudiciu.Acest fapt facedificilă cuantificarea exactă a elementelor vizate ale prejudiciului și, respectiv, îngreunează sarcina judecătorului de a stabili despăgubirea adecvată a victimei neexecutării obligației contractuale.
