FIDUCIA – NOVELĂ ÎN CODUL CIVIL AL REPUBLICII MOLDOVA

Abstract

Introducerea instituţiei Fiduciei în Codul civil al Republicii Moldova reprezintă un pas spre modernizarea legislaţiei civile naţionale. Această novelă ridică multi ple probleme de ordin ştiinţific şi practic, făcând indispensabilă cercetarea noii instituţii. Pentru realizarea acestui demers este necesar, întâi de toate, să prezentăm o scurtă introducere în materia fiduciei. Aşadar, în articolul de faţă sunt relevate premisele de la care a pornit legiuitorul în reglementarea fiduciei, sursele de inspiraţie ale acestuia şi câteva aspecte generale privind fiducia: noţiunea, particularităţile, părţile şi masa patrimonială fiduciară. La etapa primară de prezentare a Fiduciei, scopul autorului nu rezidă în analiza aprofundată a problemelor ridicate de noua instituţie, ci se limitează la expunerea dispoziţiilor legale, însoţite uneori de scurte explicaţii. Cu toate acestea, în conţinutul articolului sunt enunţate câteva dintre aspectele carenecesită a fi cercetate detaliat şi care vor constitui obiectul unor studii viitoare.Cu titlu de exemplu, autorii menţioneaCZU: 347.7 ză următoarele: (in)compatibilitatea trustului cu sistemul de drept continental, problema teoriei patrimoniului, stuctura complexă (trinitariană) a raportului de fiducie etc.The introduction of Trust in the Civil Code of the Republic of Moldova represents a step towards modernization of the national civil law. This novel raises multiple scientific and practical problems, making the research of the new institution indispensable. In order to achieve this purpose, it is necessary, first of all, to present a brief introduction in the matter of trust. In this way, the present article provides the premises from which the legislature started in the regulation of trust, its sources of inspiration, and some general aspects regarding the trust: the notion, the particularities, the parts and the trust fund. At this primary phase of presenting the trust, the author’s purpose does not consist in the in-depth analysis of the problems raised by the new institution, but is limited to the presentation of legal provisions, accompanied by brief explanations in some cases. However, this article contains some of the aspects that should be investigated in detail and which will be the subject of future studies. By way of example, the authors mentions the following: the (in)compatibility of the trust with the continental law, the problem of the theory of patrimony, the complex (trinitarian) structure of the trust relationship, etc.
