    TENDINȚE ACTUALE ÎN PROCESUL DE ARMONIZARE A DREPTULUI PRIVAT ÎN EUROPA

    Despite efforts to harmonize and standardize private law in recent decades, obstacles to cross-border trade, created by the diversity of national laws, continue to exist. The process of standardizing private law regulations at European level is complex and difficult. It takes place in different ways. One way is to draw up and improve the EU acquis, which contains regulations on private law. However, actions of harmonizing regulations in the field of private law are of a sectoral nature, consisting on the development and refinement of the EU acquis in some specific areas. Another way is to develop a general theory of private law, through optional instruments of uniform law, which serve as models for the EU and national legislators. Thus, the solutions enshrined in these instruments can indirectly gain regulatory value, contributing to the standardization of private law within and outside the EU. Implicit harmonization of contract law also takes place through the adoption of uniform legal solutions in the process of modernizing civil law in different European countries.

    REGIMUL NEEXECUTĂRII CONTRACTULUI ÎN CONVENŢIA DE LA VIENA ASUPRA CONTRACTELOR DE VÂNZARE INTERNAŢIONALĂ DE MĂRFURI

    The Viena Convention on the International Sale of Goods of 11 April 1980 (CISG) is undoubtedly one of the most important international conventions serving as an efficient instrument for the harmonization of the international trade. Given its scope of application, CISG subjects the entire system of international commercial sales to a global and complex regulation. Due to the rules adopted both from continental European law and common law, CISG sets out solutions well adapted to the needs of the international exchange of goods. The above-mentioned Convention “contains the core of a genuine International Trade Code”. In the present article we have analyzed the specific features of the concept of breach of the contract and of the system of remedies provided in the CISG.

    DREPTUL EUROPEAN AL CONTRACTELOR: EVOLUȚII RECENTE ȘI SITUAȚIA ACTUALĂ

    This paper examines the steps taken in recent years to establish and develop European contract law. The process of harmonizing European contract law takes place in different ways. One way is to draw up and improve the EU acquis, which contains regulations on contracts. Another way is to develop a general theory of contracts, through optional instruments of uniform law, which serve as models for the EU and national legislators. Implicit harmonization of contract law also takes place through the adoption of uniform legal solutions in the process of modernizing civil law in different European countries.

    NEEXECUTAREA CONTRACTULUI ÎN DREPTUL ANGLO-AMERICAN

    The importance of knowing the Anglo-American contract law, which is part of the common law family, is determined by the fact that the common law is shared, besides England and the USA, by a great number of national juridical systems of many countries on all the continents. Also, a number of international conventions in the field of international trade were elaborated by taking into consideration the concepts of the common law. In the present article we have considered the remedies offered by the common law in case of non-execution or inappropriate execution of the contract. Some of those remedies are of judicial nature, such as the action for specific performance, the action for damages, the other ones are self-help remedies, such as the actions by which the party damaged through the non-execution or the inappropriate execution of the agreement may “remedy” itself the situation.

    NEEXECUTAREA CONTRACTULUI ÎN DREPTUL GERMAN

    The German Civil Code of 1900 played a special part in the history of the civil law of continental Europe, standing as a model for the lawmakers of many countries. The German civil and commercial laws are of a particular interest to Moldovan lawyers for the following reasons: (1) the Civil Code of Republic of Moldova has adopted many of the concepts from the German civil law, in general, and from the obligation law in particular; and (2) our country strives for the strengthening and diversification of economic relationships with the EU countries, including Germany. The German obligation law sets an efficient and well-balanced mechanism for the protection of interests of both parties to the contract by offering them, in the event of litigations, a system of efficient remedies and guarantees for preserving and continuing the contractual relationship. The present article is focused on the system of remedies and guarantees granted in case of non-execution of the contract.

    NEEXECUTAREA CONTRACTULUI ÎN DREPTUL FRANCEZ

    The importance of knowing the bases of the French civil law in general and the regulations in relation to contracts in particular lies in the following: (i) such law is often appointed as the applicable law to commercial agreements with business partners from France – such relationships are subject to a constant growth and diversification; (ii) the French law has influenced to a certain extent (which is hard to be overestimated) the civil laws of a great many countries in the world – a number of national civil codes have been conceived following the French model. During the last couple of years a group of most reputable French lawyers have proceeded to the revision of the title “Obligations” of the Civil Code. In the present article we have considered both the regulations in force and the guidelines of the above-mentioned project in regards to the non-execution of the contract.

    ABORDĂRI NOI ÎN MATERIA NEEXECUTĂRII OBLIGAȚIEI

    In the present article we have analysed the specific features of the concept of non-performance of the obligation and of the system of remedies provided by the modernized Civil Code of the Republic of Moldova. The new regulations establish the same system of legal remedies as in most of the civil codes of the countries of continental Europe, as well as in the instruments of uniform law of obligations - Vienna Convention on Contracts for the International Sale of Goods of 11 April 1980, UNIDROIT principles of international commercial contracts and Draft Common Frame of Reference of the European Union, developed within academic institutions. The new regulations regarding the non-performance of the obligation establish a balanced mechanism for the protection of the interests of both parties of the contract, providing them in the litigious situations a coherent system of efficient remedies. The unitary regulation of the remedies in case of non-performance of the obligation will make easier for the creditor of the unfulfilled obligation to perceive the possibilities offered by the law and allow him to choose the legal instrument that best corresponds to his interests.

    EVOLUȚIA REGLEMENTĂRILOR ÎN DOMENIUL UTILIZĂRII ABUZIVE A INFORMAȚIEI CONFIDENȚIALE PE PIAŢA DE CAPITAL ÎN SUA

    Prezentul articol are drept obiectiv prezentarea sumarizată a evoluției regimului juridic a utilizării informației confidențiale pe piața de capital a SUA, de la începutul secolului XX și pînă în prezent. SUA rămîne în continuare una dintre cele mai mari piețe de capital din lume, fiind și printre primele jurisdicții care a interzis utilizarea abuzivă a informației confidențiale pe această piața și care a urmărit cu multă consecvență implementarea acestei interdicții. În acest context, înțelegerea politicilor și a doctrinelor legale care au stat la baza regimului juridic al utilizării informației confidențiale pe piața de capital a SUA constituie o premisă importantă pentru cercetarea reglementărilor corelate din alte jurisdicții. Evoluția acestui regim juridic a fost modelată, în principal, de decizii ale instanțelor de judecată; această particularitate a condus, deseori, la soluții surprinzatoare, mulate prin exerciții de creativitate judiciară pe obiectivele politicilor promovate pe piața de capital.

    EXECUTAREA CONTRACTELOR COMERCIALE INTERNAȚIONALE ÎN CONDIȚII EXCEPȚIONALE

    Under the conditions of the exceptional health crisis caused by the covid-19 virus, unprecedented governmental actions are taking place worldwide, which are likely to massively affect the execution of ongoing international trade agreements, so that international trade operators are in a position to seek legal solutions to get out of deadlock. Two institutions established in both the national laws and the instruments of uniform law come to regulate the situations in which, due to unforeseeable events at the time of the conclusion of the contract, which do not depend on the will of the contracting parties seriously affect the ability of the parties to performe their commitments - force majeure and hardship. This article is dedicated to the legal analysis of these two important institutions of international contract law.
