    REGIMUL NEEXECUTĂRII CONTRACTULUI ÎN CONVENŢIA DE LA VIENA ASUPRA CONTRACTELOR DE VÂNZARE INTERNAŢIONALĂ DE MĂRFURI

    The Viena Convention on the International Sale of Goods of 11 April 1980 (CISG) is undoubtedly one of the most important international conventions serving as an efficient instrument for the harmonization of the international trade. Given its scope of application, CISG subjects the entire system of international commercial sales to a global and complex regulation. Due to the rules adopted both from continental European law and common law, CISG sets out solutions well adapted to the needs of the international exchange of goods. The above-mentioned Convention “contains the core of a genuine International Trade Code”. In the present article we have analyzed the specific features of the concept of breach of the contract and of the system of remedies provided in the CISG.

    NEEXECUTAREA CONTRACTULUI ÎN DREPTUL ANGLO-AMERICAN

    The importance of knowing the Anglo-American contract law, which is part of the common law family, is determined by the fact that the common law is shared, besides England and the USA, by a great number of national juridical systems of many countries on all the continents. Also, a number of international conventions in the field of international trade were elaborated by taking into consideration the concepts of the common law. In the present article we have considered the remedies offered by the common law in case of non-execution or inappropriate execution of the contract. Some of those remedies are of judicial nature, such as the action for specific performance, the action for damages, the other ones are self-help remedies, such as the actions by which the party damaged through the non-execution or the inappropriate execution of the agreement may “remedy” itself the situation.

    NEEXECUTAREA CONTRACTULUI ÎN DREPTUL GERMAN

    The German Civil Code of 1900 played a special part in the history of the civil law of continental Europe, standing as a model for the lawmakers of many countries. The German civil and commercial laws are of a particular interest to Moldovan lawyers for the following reasons: (1) the Civil Code of Republic of Moldova has adopted many of the concepts from the German civil law, in general, and from the obligation law in particular; and (2) our country strives for the strengthening and diversification of economic relationships with the EU countries, including Germany. The German obligation law sets an efficient and well-balanced mechanism for the protection of interests of both parties to the contract by offering them, in the event of litigations, a system of efficient remedies and guarantees for preserving and continuing the contractual relationship. The present article is focused on the system of remedies and guarantees granted in case of non-execution of the contract.

    NEEXECUTAREA CONTRACTULUI ÎN DREPTUL FRANCEZ

    The importance of knowing the bases of the French civil law in general and the regulations in relation to contracts in particular lies in the following: (i) such law is often appointed as the applicable law to commercial agreements with business partners from France – such relationships are subject to a constant growth and diversification; (ii) the French law has influenced to a certain extent (which is hard to be overestimated) the civil laws of a great many countries in the world – a number of national civil codes have been conceived following the French model. During the last couple of years a group of most reputable French lawyers have proceeded to the revision of the title “Obligations” of the Civil Code. In the present article we have considered both the regulations in force and the guidelines of the above-mentioned project in regards to the non-execution of the contract.

    REZOLUŢIUNEA CA SANCŢIUNE A NEEXECUTĂRII CONTRACTULUI ÎN DREPTUL COMERŢULUI INTERNAŢIONAL: CONCEPTUL ŞI CONDIŢIILE REALIZĂRII

    Сторона по договору, потерпевшая в результате неисполнения другой стороной своих обязательств, может желать завершения договорных отношений, а также возврата стороны в первоначальное положение. Таким образом, сторона может объявить договор расторгнутым. В различных правовых системах были предприняты попытки достичь определeнного равновесия между конфликтующими интересами сторон расторгнутого договора. В настоящей статье содержится анализ концепций и условий расторжения договора, как санкции за неисполнение договора, в наиболее важных инструментах унификации международного коммерческого права: Венская Конвенция о договорах международной купли-продажи товаров от 11 апреля 1980 года, Принципы УНИДРУА о международных коммерческих договорах и Принципы Европейского договорного права, разработанные Европейской Комиссией по европейскому договорному праву.

    CLAUZELE CONTRACTUALE EXONERATOARE ŞI LIMITATIVE DE RĂSPUNDERE ÎN DREPRUL COMERŢULUI INTERNAŢIONAL

    The contract freedom leads to a wide range of liability related clauses in the international commercial contracts, created in function of the respective economic power and and negotiations skills of the parties. Legislators all over the world have made active interventions in the field of this kind of clauses; judges have been found in all jurisdictions to declare liability related clauses unenforceable, on the basis of mandatory provisions of law. In the present article we have analyzed the specific features, the typology and the conditions of the validity of the contract clauses regarding the exemption and the limitation of liability for breach of the contract in various legal systems and instruments of uniform law.

    MODALITĂŢILE OPERĂRII REZOLUŢIUNII CONTRACTULUI ÎN DREPTUL COMERŢULUI INTERNAŢIONAL

    Настоящая статья посвящена анализу механизма расторжения договора в двух основных правовых системах (в континентальном и англо-саксонском праве), а также наиболее важных инструментах унификации международного коммерческого права: Венская Конвенция о договорах международной куплпродажи товаров от 11 апреля 1980 года, Принципы УНИДРУА о международных коммерческих договорах и Принципы Европейского договорного права, разработанные Европейской Комиссией по европейскому договорному праву. Существуют два основных подхода к разрешению этой проблемы. В некоторых правовых системах (например, французское право) для расторжения договора необходимо решение суда. Судебная инстанция, рассматривающая иск о расторжении, может предпринять одно из следующих действий: удовлетворить иск, отклонить иск либо предоставить ответчику допол- нительный срок для исполнения обязательства. В других правовых системах расторжение договора может происходить без судебного решения, путём простой декларации потерпевшей стороны.

    MODALITĂŢILE DE EVALUARE A PREJUDICIULUI CAUZAT PRIN NEEXECUTAREA CONTRACTULUI ÎN DREPTUL COMERŢULUI INTERNAŢIONAL

    The present article contains a comparative analysis of various modalities of assessment of the damage caused by the breach of contract in some legal systems (French, German, Anglo-Saxon), and also of tools of the uniform law (the Vienna convention on contracts for the international sale of goods dated April 11, 1980, UNIDROIT Principles of International Commercial Contract and principles of European Contract Law.), like difference in value, cost of replacement and cost of cure, as well as concrete and abstract assessment. Also we have analyzed the issues of the determination of the date and the money of assessment.

    CARACTERUL COMPENSATOR AL DAUNELOR-INTERESE ALOCATE ÎN CAZUL NEEXECUTĂRII CONTRACTULUI ÎN DREPTUL COMERŢULUI INTERNAŢIONAL

    The purpose of the award of damages to the creditor in case of the breach of contract by the debtor is to compensate the creditor for loss suffered. It means that an award of damages should not enrich the creditor: he cannot recover more than his loss. In some of the United Stated there are express statutory provisions to the effect that damages shall not as a general rule exceed full compensation, and even in the absence of such enactments the principle applies in other common law and civil law jurisdictions as well as in international instruments. In the present article we have analyzed the specific features of the said rule in various legal systems and instruments of uniform law: Viena Convention on the International Sale of Goods of 11 April 1980, UNIDROIT Principles regarding the International Commercial Contracts and Principles of the European Contract Law.

    PRINCIPIUL REPARĂRII INTEGRALE A PREJUDICIULUI ÎN DREPTUL COMERŢULUI INTERNAŢIONAL

    The International Trade Law is dominated by the principle of full compensation of damage caused to the creditor by the breach of contract. The general rule is that the creditor is entitled to be put into the same position as he would have been had the debtor complied with the terms of his contract. The damages due to the creditor are the loss which he has suffered and the profit of which he has been deprived. In the present article we have analyzed the specific features of the said principle in various legal systems and instruments of uniform law: Viena Convention on the International Sale of Goods of 11 April 1980, UNIDROIT Principles regarding the International Commercial Contracts and Principles of the European Contract Law.
